Residential VoIP Globalinx Business VoIP Business Wireless Service Subscriber Module Lease Agreement: Lease Agreement " The Provider shall furnish 900MHz basic equipment whereby the Customer at the above location can have access to the Provider's wireless high speed broadband service. An assigned Contractor will install all of the equipment, and a DTA router if applicable. Any additional task or changes i.e. services on personal computers and etc. will be completed at the Customer's expense. " Customer agrees that all of the 900MHz basic equipment shall always remain the sole property of the Provider and, usage of this Internet Access Service per this Lease Agreement by the Customer is limited to the location as listed above. " If it is determined by the assigned Contractor that because of the geographical location of the Customer's home in conjunction with the location of the wireless source (the tower), from where the signal is being received, that the basic "Maxrad" antenna will not provide sufficient throughput for the wireless high speed connection then the Provider can upgrade the antenna for an additional fee of $5.95 per month. Customer agrees in advance and per this Agreement to pay the upgrade fee if it is determined that the upgrade is required. Other types of upgrades may be required on a case by case basis. The customer will be informed before these other types of upgrades are installed. " The assigned 900MHz basic equipment for the above location can not be removed, moved, neither detached or relocated either from nor while attached to the home at the above location. THIS AGREEMENT WILL TERMINATE IMMEDIATELY IF ANY PORTION OF THE 900MHz EQUIPMENT IS REMOVED, MOVED, DETACHED OR RELOCATED EITHER FROM OR WHILE ATTACHED TO THE HOME AT THE ABOVE LOCATION. THE PROVIDER IS ENTILTED TO ALL LEGAL REMEDIES. " Customer agrees to call the Provider's service department at (601) 225-7522 if the basic equipment ever fails to work properly due to normal wear and tear. Provider will replace the basic equipment free of charge if it is determined that the basic equipment will not operate due to normal wear and tear. Any form of tampering with the basic equipment after the original installation will void the free replacement policy. " Customer agrees to pay the full price to replace any and all required parts of the basic equipment if it is determined that the assigned equipment fail to work because it was removed, moved, detached or relocated from the original installed position on the home. Customer also agrees to pay the full price to replace any portion of the basic equipment if it is determined that the equipment was destroyed due to inclement weather or some other type of catastrophic or uncontrollable event. The Customer's home insurance might cover this cost. " OPTIONAL COVERAGE: Customer may choose to accept the optional insurance coverage which is offered by the Provider's Insurance Company. The month-to-month fee is $0.00. The customer hereby accepts _______ or decline ______ the optional coverage as outlined in the official policy documents from the Provider's Insurance. Customer's Initials: _____ " Customer agrees that prior to installing the basic equipment on the home the Owner/Landlord of the property must give written consent on the Provider's approval form. An additional fee may be charge if the Customer fails to be available for the scheduled installation. The assigned Contractor will contact the Customer to make arrangements for the site survey and for the installation. Terms of Service " Customer agrees that the Provider may modify the Agreement and the Services from time to time. You agree to be bound by any changes the Provider may reasonably make to this Agreement when such changes are made. If the Customer have purchased products or services from the Provider, the terms of this Agreement shall continue in full force and effect as long as the Customer take advantage of and use the products or services. " In the event the Customer terminates usage, the Provider will not refund any amounts the Customer has paid. Customer agree that the Provider shall not be bound by any representations made by third parties who the Customer may use to purchase products or services from the Provider, and that any statement of a general nature, which may be posted on the Provider's Web site or contained on the Provider's promotional materials, will not bind the Provider. The Provider may, at times, offer certain promotions with different charges and features. " Customer agrees to be responsible for notifying the Provider should the Customer desire to terminate use of the Provider's services. Notification by the Customer of the intent to terminate must be in writing and be received by the Provider no earlier than thirty (30) days prior to the Customer's billing date but no later than three (3) days prior to the Customer's billing date. " The month-to-month basis of the terms of service does not establish a long-term contractual obligation for the Customer or the Provider. The Customer understands and agrees that the Provider may keep a 'Waiting List' for prospective customers. If the Customer fails to pay the scheduled monthly Equipment Lease fee of $10.00 and Service fee of $39.95 (plus 7% tax), the Customer has three (3) business days from the date of notice of non-payment from the Provider to make full payment for the service. A reconnection fee and other charges may apply. " Customer agrees to be solely liable for arranging the source for when and how that the requested services are renewed from month-to-month, and that the Provider shall not be liable to the Customer or any third party if the Provider is unable to charge the Customer's payment method in order to renew the services. " WE, OUR PARENT, SUBSIDIARIES, EMPLOYEES AND OUR SUPPLIERS PROVIDE OUR SERVICES "AS IS" AND WITHOUT ANY WARRANTIES OR CONDITIONS, EXPRESS, IMPLIED OR STATUTORY. WE, OUR PARENT, SUBSIDIARIES, EMPLOYEES AND OUR FEATURED PROGRAM SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGMENT. The Provider shall make reasonable efforts to ensure that the Customer's request for the selected services are processed in a timely manner but we make no representations or warranties regarding the amount of time needed to complete processing because of the final completion, shipment, and/or verification for our products and services is largely dependant upon many factors outside of our control, such as delays in the electronic systems solely controlled by the entities which are featured, and other reasonable factors. The Provider makes no warranty that its services will meet the Customer's requirements, or that the products or services will be uninterrupted, timely, secure, or error free or that defects will be corrected. The Provider does not warrant, nor make any representations regarding the use, or results of, any of the services it provides, in terms of their correctness, accuracy, reliability, or otherwise. SOME STATES MAY NOT ALLOW SUCH A BROAD EXCLUSION OR LIMITATION ON LIABILITY FOR DAMAGES AS CONTAINED HEREIN. IN SUCH STATES the Provider's LIABILITY IS LIMITED TO THE FULL EXTENT PERMITTED BY LAW. YOU AGREE THAT IN NO EVENT SHALL OUR MAXIMUM AGGREGATED LIABILITY EXCEED THAT TOTAL AMOUNT PAID BY YOU FOR THE PARTICULAR PRODUCTS OR SERVICES IN DISPUTE FROM the Provider. " Indemnification: The Customer agree to defend, indemnify and hold harmless the Provider and its contractors, agents, employees, officers, directors, shareholders, and affiliates from any loss, liability, damages or expense, including reasonable attorneys fees, resulting from any third party claim, action, proceeding or demand related to the Customer's use of products or services the Customer purchased from the Provider or the Customer's breach of this Agreement or incorporated agreements and policies. Customer's Initials: _____ " Arbitration: Both Parties recognize that differences may arise between eCom Direct, Inc. (the "Provider") and the Customer during or following the application, including any/or all periods of Agreement with the Provider and/or separation there from, and that those differences may or may not be related to the Agreement. The Provider and the Customer understand and agree that by entering into this Agreement to Arbitrate Claims ("Agreement"), both anticipate gaining benefits of a speedy, impartial, final and binding dispute-resolution procedure. Except as provided in this Agreement, the Federal Arbitration Act shall govern interpretation, enforcement, and all proceedings pursuant to this Agreement. To the extent that the Federal Arbitration Act is inapplicable, state law pertaining to agreements to arbitrate shall apply. " Fees and Payments: Payment may be made by the Customer providing either a valid credit / debit card, an online check, and any other acceptable method of payment as allowed during the transaction process. The Customer's monthly billing date will be determined based on the day of the month the Customer opens or decide to renew unless that date falls after the 28th of the month in which case the billing date will be the 28th of each month. " The Customer agrees that the Provider may withdraw the month-to-month payment from the payment method that the Customer will select or selected during the registration phase to become a Customer. The Customer agrees that the same amount may be withdrawn on a month-to-month basis until at such time that the Provider is notified by the Customer in writing that the Customer elect to cancel, terminated or suspend the service. If for any reason the Provider is unable to charge the Customer's payment method for the full amount owed to the Provider for the products and services provided, or if the Provider is charged a penalty for any fee it previously charged to the Customer's payment method, the Customer agree that the Provider may pursue all available legal remedies in order to obtain those fees and payments.
